Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Merchant") and Velvet Development, operating as PassportPro ("we", "our", "us", "PassportPro"). By installing, accessing, or using our Shopify application, visiting our website at passportpro.app, or using any of our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services.
These Terms are in addition to, and do not replace, the Shopify Terms of Service and any other agreements you have with Shopify.
2. Description of Services
PassportPro provides:
- A Shopify embedded application for creating, managing, and publishing Digital Product Passports (DPPs) in accordance with EU Regulation 2024/1781 (ESPR)
- QR code generation linked to publicly accessible product passport pages
- A public resolver at pp-code.org for serving passport data to consumers
- Library management for manufacturers, materials, and substances
- Print run management with immutable snapshot capabilities
- Compliance audit reports and analytics
- Theme extension blocks for Shopify storefronts
3. Eligibility and Account
To use PassportPro, you must:
- Be at least 18 years old or the age of legal majority in your jurisdiction
- Have a valid, active Shopify store
- Have the authority to bind your business to these Terms
- Provide accurate and complete information during installation and use
You are responsible for maintaining the security of your Shopify account and for all activities that occur under your account.
4. Subscription, Billing, and Payment
4.1 Pricing
PassportPro operates on a subscription basis. Current pricing is available on our website and the Shopify App Store listing. We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will continue at their current rate until the end of their billing cycle following the notice period.
4.2 Free Trial
We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically enrolled in a paid subscription. No refunds are issued for charges incurred after a trial period ends.
4.3 Billing
All billing is processed through Shopify's billing API. By subscribing, you authorize Shopify to charge the applicable fees to your Shopify account. You agree to pay all fees in accordance with Shopify's billing terms.
4.4 Cancellation
You may cancel your subscription at any time through the Shopify admin or by uninstalling the app. Upon cancellation:
- You may be offered an optional one-time Archive Fee to keep your published passports and QR codes operational indefinitely in read-only mode.
- If you decline the archive option, all your data will be permanently deleted after a 30-day grace period. This is irreversible.
- After data deletion, all QR codes will cease to resolve and will display an error message.
4.5 Refunds
All sales are final. We do not offer refunds for partial months, unused features, or subscription periods already paid. Refunds for billing errors will be handled through Shopify's billing system.
5. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable law or regulation
- Submit false, misleading, or fraudulent product passport data
- Attempt to gain unauthorized access to our systems, other users' accounts, or any data not intended for you
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application
- Use automated tools (bots, scrapers, etc.) to access the service beyond its intended functionality
- Interfere with or disrupt the integrity or performance of the service
- Resell, sublicense, or redistribute the service without our written consent
- Use the service to violate the intellectual property rights of any third party
- Upload or transmit viruses, malware, or other harmful code
- Abuse the public resolver (pp-code.org) through excessive automated requests or denial-of-service attempts
We reserve the right to suspend or terminate your access immediately, without notice, for any violation of these acceptable use terms.
6. Your Data and Responsibilities
6.1 Data Accuracy
You are solely responsible for the accuracy, completeness, and legality of all data you enter into PassportPro, including but not limited to product passport information, manufacturer details, material compositions, substance declarations, and environmental footprint data. PassportPro is a tool — it does not verify or validate the accuracy of the data you provide.
6.2 Regulatory Compliance
PassportPro is a compliance tool, not a compliance guarantee. While we provide features to help you create Digital Product Passports in accordance with EU ESPR regulations, you are solely responsible for:
- Ensuring your passport data meets all applicable regulatory requirements
- Determining which products require passports under current regulations
- Consulting with qualified legal and compliance professionals for your specific situation
- Staying current with regulatory changes and updating your passports accordingly
- Complying with all applicable laws in every jurisdiction where you sell products
6.3 Public Disclosure
You acknowledge and agree that Digital Product Passports you create and publish through our service will be publicly accessible via QR codes and the pp-code.org resolver. This includes all passport fields, print run snapshots, amendment records, and associated product images. You must not include any confidential, proprietary, trade secret, or personally identifiable information in passport fields that you would not want publicly disclosed.
6.4 Intellectual Property in Your Data
You retain all ownership rights to the data you enter into PassportPro. By using the service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and transmit your passport data solely for the purpose of providing the service, including making passport data publicly available as intended by the DPP functionality.
7. Intellectual Property
7.1 Our Property
PassportPro, including its software, design, branding, documentation, and all related materials, is owned by Velvet Development. All rights, title, and interest in and to the service are and will remain the exclusive property of Velvet Development. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.
7.2 Feedback
Any feedback, suggestions, ideas, or other submissions you provide regarding our service may be used by us without any obligation to you. You assign all rights in such feedback to us.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PassportPro and its affiliates, officers, directors, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of or inability to use the service.
- Our total aggregate liability for all claims arising out of or relating to these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
- We are not liable for any regulatory fines, penalties, sanctions, or enforcement actions resulting from your non-compliance with EU ESPR, GDPR, or any other applicable law or regulation.
- We are not liable for any business losses, including lost sales, revenue, profits, anticipated savings, business opportunities, goodwill, or reputation.
- We are not liable for any losses arising from QR codes that cease to function after account cancellation and data deletion.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We specifically disclaim all implied warranties including:
- Merchantability: We do not warrant that the service will meet your requirements or expectations.
- Fitness for a Particular Purpose: We do not warrant that the service will ensure your compliance with any specific regulation, including EU ESPR.
- Non-Infringement: We do not warrant that the service does not infringe any third-party rights.
- Accuracy: We do not warrant the accuracy, completeness, or reliability of any data generated by or stored in the service, including AI-generated suggestions.
- Availability: We do not warrant uninterrupted, error-free, or secure operation. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless PassportPro, Velvet Development, and their affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the service
- Your violation of these Terms or any applicable law or regulation
- The accuracy, completeness, or legality of the data you enter into product passports
- Your failure to comply with EU ESPR or any other applicable regulations
- Any claim by a third party relating to the content of your published Digital Product Passports
- Your infringement of any third-party intellectual property rights
11. Service Availability and Modifications
11.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, whether planned or unplanned.
11.2 Modifications
We reserve the right to modify, update, or discontinue any aspect of the service at any time. For material changes that negatively affect your use, we will provide 30 days' advance notice. Continued use after modifications constitutes acceptance.
11.3 Discontinuation
In the event we discontinue the service entirely, we will provide at least 90 days' notice and offer data export capabilities during that period.
12. Termination
12.1 Termination by You
You may terminate these Terms at any time by uninstalling the app or canceling your subscription through Shopify.
12.2 Termination by Us
We may suspend or terminate your access immediately, without prior notice, if:
- You breach these Terms
- We are required to do so by law or governmental order
- Your use of the service poses a security risk or may cause harm to other users or our infrastructure
- Your Shopify store is deactivated or suspended
- You fail to pay applicable subscription fees
12.3 Effect of Termination
Upon termination, your right to use the service ceases immediately. Sections 6.4, 7, 8, 9, 10, 13, 14, and 15 survive termination.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Velvet Development is established, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction.
13.3 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PassportPro regarding the service.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, pandemics, fire, floods, accidents, strikes, labor disputes, internet or telecommunications failures, or disruptions to third-party services (including Shopify, Vercel, or Supabase).
14.6 Notices
We may provide notices to you via the email address associated with your Shopify store, through in-app notifications, or by posting on our website. You may provide notices to us at support@velvetdevelopment.com.
15. Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top
- Provide notice via email or in-app notification
- For material changes, provide at least 30 days' notice before the changes take effect
Continued use of the service after the effective date of any changes constitutes acceptance of those changes.
